1. Introduction
   These Terms of Use (the “Terms”) govern your access to and use of the website located at https://open-science.group (the “Site”) and the services provided by Open Science Group Limited (the “Company”, “we”, “us”, “our”), a company incorporated in the Hong Kong Special Administrative Region (registration number: 78832653).
   By accessing the Site or using our services (including text proofreading, editing and language-correction services) you accept and agree to be bound by these Terms. If you do not agree, please do not use the Site or our services.

2. Services
   We provide language-correction, proofreading, editing and related services (the “Services”). The description of each Service, the scope of work, fees, delivery times and other details will be set out in the applicable service agreement, quotation or order form.
   We reserve the right to modify or discontinue any Service (in whole or part) without notice.

3. User Responsibilities

• You warrant that any material you submit to us for correction or editing is your own content or that you have all necessary rights/permissions.
• You agree not to use the Site or our Services for any unlawful purpose or in any way that would infringe the rights of others (including intellectual property rights).
• You agree to provide accurate, complete and up-to-date information when requested by us.
• If you are using the Site on behalf of an organisation, you represent that you have authority to bind that organisation.

4. Intellectual Property

• All content on the Site (including text, design, graphics, logos, icons, images, software) is the property of the Company or its licensors and is protected by copyright, trademark, and other intellectual property laws.
• You may view or download material from the Site for your personal, non-commercial use only and provided you retain all copyright and other proprietary notices.
• Unless expressly permitted, you must not copy, reproduce, publish, distribute, display, adapt or create derivative works of any part of the Site or the Services.
• If you submit materials for our Services, you grant us a non-exclusive, royalty-free licence to use such materials for the purpose of providing the Services to you.

5. Fees and Payment

• Fees for our Services will be set out in our quotation or service agreement. Payment terms (e.g., due date, payment method) will also be stated therein.
• If you fail to make payment by the due date, we may suspend or terminate provision of the Services without liability to you.

6. Disclaimer of Warranties and Limitation of Liability

• While we endeavour to provide high quality Services, we do not guarantee that the Services will be error-free or that any specific result will be achieved.
• To the maximum extent permitted by law, the Company disclaims all warranties (express or implied) including merchantability, fitness for a particular purpose, accuracy or completeness of any content.

• Nothing in these Terms shall exclude or limit any liability which cannot be excluded or limited under the laws of the Hong Kong Special Administrative Region.

• Upon termination, any provisions of these Terms that by their nature should survive (including Intellectual Property, Limitation of Liability, Governing Law & Jurisdiction) shall remain in full force and effect.

   We may amend these Terms from time to time by posting the amended version on the Site. The amended Terms will take effect on the date indicated. Your continued use of the Site or Services following the effective date constitutes acceptance of the amended Terms. If you do not agree, you must stop using the Site or the Services.

9. Governing Law & Jurisdiction
   These Terms and any non-contractual obligations arising out of or in connection with them shall be governed by the laws of the Hong Kong Special Administrative Region. You agree to submit to the exclusive jurisdiction of the courts of Hong Kong in respect of any dispute.

10. Miscellaneous

• If any provision of these Terms is held to be invalid, illegal or unenforceable by a court of competent jurisdiction, that provision shall be severed and the remaining provisions shall continue in full force and effect.
• The headings in these Terms are for convenience only and shall not affect interpretation.
• You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign or transfer our rights or obligations at any time.
• These Terms (together with any applicable service agreement, quotation or order form) constitute the entire agreement between you and us regarding the Site and Services and supersede all prior or contemporaneous communications, representations or agreements, whether oral or written.
